1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Stamina LLC ("Stamina," "we," "us," or "our"), a Wyoming limited liability company. By accessing or using our website at stamina.io and our software platform (collectively, the "Service"), you agree to be bound by these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Stamina provides a software platform designed for business-to-business (B2B) use, including sales engagement, CRM functionality, B2B contact data, AI-powered personalization, multi-channel campaign execution, a built-in dialer, workflow automation, and reporting. The Service also includes access to a dedicated GTM (go-to-market) growth expert who assists with strategy, campaign configuration, and optimization, as described in your subscription plan.

3. Account Registration and Security

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at info@stamina.io if you become aware of any unauthorized use of your account or any other breach of security. Stamina will not be liable for any losses arising from unauthorized use of your account.

4. Subscription Plans and Billing

Plans

The Service is offered on a subscription basis. Current plans, pricing, and included features (such as credit allocations and GTM engineer access) are described on our pricing page at stamina.io/pricing. Stamina reserves the right to modify plans and pricing at any time. Any changes will take effect at the beginning of your next billing cycle following notice.

Credits

Your subscription includes a monthly allocation of credits. Each credit corresponds to one verified email enrichment and AI personalization. Credits refresh on your billing date each month. Unused credits do not roll over to the next billing period. Additional credits may be purchased at any time.

Billing and Payment

You agree to pay all fees associated with your subscription plan. Payments are processed through Stripe. Monthly plans are billed on a recurring monthly basis. Quarterly plans are billed upfront for a three-month period. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

Inbox and Domain Services

Inbox setup and domain configuration services are billed separately from your subscription plan. Pricing for these services will be communicated to you during onboarding or upon request.

Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying any such taxes that are imposed on the transaction, excluding taxes based on Stamina's income.

5. Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time by contacting us at info@stamina.io. For monthly plans, cancellation takes effect at the end of the current billing period. For quarterly plans, cancellation takes effect at the end of the current three-month billing period. No prorated refunds will be issued for partial billing periods.

Termination by Stamina

We may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay applicable fees, or engage in conduct that we reasonably determine is harmful to the Service, other users, or third parties. We will provide notice of termination when practicable.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will delete or anonymize your data within a reasonable timeframe following account closure, except where retention is required by law or for legitimate business purposes such as fraud prevention.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to send unsolicited messages in violation of applicable anti-spam laws, including CAN-SPAM, GDPR, CASL, or other applicable regulations.

  • Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

  • Use the Service to collect, store, or process personal data in violation of applicable data protection laws.

  • Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.

  • Interfere with or disrupt the Service or servers or networks connected to the Service.

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.

  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.

  • Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent (except as expressly permitted under a whitelabel arrangement).

  • Use the Service to engage in competitive intelligence gathering against Stamina

7. Customer Data

Ownership

You retain all rights, title, and interest in and to the data you upload, store, or create within the Service ("Customer Data"). Stamina does not claim ownership of your Customer Data.

License to Stamina

You grant Stamina a limited, non-exclusive license to access, use, and process your Customer Data solely to provide, maintain, and improve the Service and to fulfill our obligations under these Terms.

Data Portability

You may export your Customer Data from the Service at any time using the export functionality available within the platform. Upon account termination, you may request an export of your data by contacting info@stamina.io within 30 days of termination.

Data Protection

Our collection, use, and protection of personal information is governed by our Privacy Policy at stamina.io/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. B2B Contact Data

The Service provides access to B2B contact data, including professional contact information such as names, email addresses, phone numbers, job titles, and company information. You acknowledge and agree that:

  • This data is provided for lawful B2B prospecting and outreach purposes only.

  • You are responsible for ensuring that your use of this data complies with all applicable laws and regulations, including data protection laws, anti-spam laws, and telecommunications regulations.

  • You will not use this data for consumer marketing, personal solicitation, or any purpose unrelated to B2B commercial activity.

  • Stamina makes reasonable efforts to maintain the accuracy and currency of B2B contact data, but does not guarantee that all data is accurate, complete, or current at the time of use.

  • You will promptly honor any opt-out, unsubscribe, or data deletion requests from individuals you contact using data obtained through the Service.

9. Intellectual Property

Stamina's Rights

The Service, including its software, design, features, documentation, and all related intellectual property, is and remains the exclusive property of Stamina LLC. These Terms do not grant you any rights to Stamina's trademarks, service marks, logos, or trade names.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Stamina a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.

10. Whitelabel Services

If you access the Service under a whitelabel arrangement, additional terms may apply as specified in your whitelabel agreement. In the event of a conflict between these Terms and your whitelabel agreement, the whitelabel agreement will govern with respect to the whitelabel-specific provisions.

11. Third-Party Services

The Service may integrate with or contain links to third-party services (such as email providers, CRM platforms, or communication tools). Your use of third-party services is governed by their respective terms and policies. Stamina is not responsible for the availability, accuracy, or practices of any third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Stamina does not warrant that the results obtained from the use of the Service will be accurate, reliable, or meet your requirements. Stamina does not warrant the accuracy, completeness, or reliability of any B2B contact data provided through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAMINA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

STAMINA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO STAMINA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Stamina, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Customer Data; or (e) your outreach activities conducted through the Service, including any claims related to unsolicited communications.

15. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Sheridan, Wyoming, or at a location mutually agreed upon by the parties. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or whitelabel agreements, constitute the entire agreement between you and Stamina regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of Stamina to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Stamina may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Modifications

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service prior to the change becoming effective. Your continued use of the Service after any changes indicates your acceptance of the updated Terms.

All notices to Stamina should be sent to info@stamina.io. We may provide notices to you via the email address associated with your account or through the Service.
